These Terms of Service (“Terms”) govern your use of the website and dispatch services provided by Elite Logistics Dispatch LLC (“Company,” “we,” “us,” or “our”). By using our website or engaging our dispatch services, you agree to these Terms.

We provide truck dispatch and back-office support services to motor carriers operating under their own MC/DOT authority. We are a dispatch service provider — not a motor carrier, broker, or freight forwarder unless separately licensed and disclosed in writing.

Dispatch fees are calculated as a percentage of gross load revenue as outlined in your selected plan (Starter, Professional, or Fleet). Fees are due upon carrier payment for completed loads unless otherwise agreed in writing. You are responsible for all factoring fees, quick-pay charges, and third-party service costs.

Services begin upon signed dispatch agreement and receipt of required carrier documents. Either party may terminate with 30 days written notice. Outstanding fees for completed loads remain payable after termination.

To the fullest extent permitted by law, Elite Logistics Dispatch LLC shall not be liable for indirect, incidental, or consequential damages arising from load delays, broker disputes, market rate fluctuations, or carrier operational decisions. Our total liability shall not exceed fees paid to us in the 30 days preceding the claim.

7. Indemnification

You agree to indemnify and hold harmless the Company from claims arising from your operations, negligence, regulatory violations, or breach of these Terms.

All website content, branding, and materials are owned by Elite Logistics Dispatch LLC. You may not copy, reproduce, or distribute our materials without written permission.

9. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of Guilford County, North Carolina.

10. Changes

We may update these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated Terms.
